1 Definitions

1.1 Lara

Lara is a machine translation system that utilizes the most advanced and state-of-the-art AI technologies to deliver the best and most trustworthy translations to its users. Lara automatically translates text or documents into user-selected target languages, providing a high-quality translation service directly through its web-based interface.

The Website is a hosted version of Lara operated by Translated s.r.l. (“Translated”, “We”, “Us”, “Our”, “Ours”), based in Via Indonesia no. 23, Rome (RM), Italy, VAT number IT07173521001, email: info@translated.com

These terms of use (the Terms and Conditions of Use) refer to the latter. The Website is the property of Translated. By accessing or using the Website, you confirm your acceptance of these Terms and Conditions of Use and your agreement to be bound by them. If you do not accept these Terms and Conditions of Use, do not use this Website. We reserve the right to terminate or suspend your access or use of the Website if either (a) we reasonably consider that you have breached these Terms and Conditions of Use or (b) we consider it necessary to do so for security purposes.

1.2 Service

The "Service" (the "Tool," the "Webapp", "Lara Translate") refers to the applications, software, products, and services provided by Lara, including any Beta Previews.

1.3 User

"The User," "You," and "Your" refer to the individual person, company, or organization that has accessed or is using Lara; that accesses or uses any part of the Account, or that controls the use of the Account in the performance of its functions.

1.4 Account

An "Account" represents your relationship with Lara. A "User Account" represents an individual User's authorization to log in to and use the Service and serves as a User's identity on Lara.

1.5 Customer

"The Customer" refers to any individual, company, or organization that subscribes to a paid plan offered by Lara. A Customer is a type of User who engages with the Service by making payments for access to premium features or higher service levels, as specified in the pricing plans. Customers may include both individual users and legal entities who use the Service for personal, commercial, or organizational purposes.

1.6 Content

"The Content" in Lara refers to the text, documents, contextual notes (additional information provided by the User to improve translation accuracy), and any other custom information submitted via the Lara user interface, with the exclusion of Personal Data (see Personal Data Processing Policy for the definition of "Personal Data").

1.7 Month, Monthly

"Month" and "monthly" refer to calendar months for subscriptions and billing purposes. Your subscription will renew on the same day of each month. If that exact day doesn't exist in a given month (e.g., subscribing on the 31st when the next month only has 30 days or February 28/29), the renewal will take place on the last available day of that month. For example, if you subscribe on January 31, the first renewal will occur on February 28 (or February 29 in a leap year), and thereafter on March 31.

2 Account-related Terms

2.1 Account Controls

Subject to these Terms, the User retains the ultimate administrative control over the User Account and all Content therein.

2.2 Required Information

The User must provide a valid email address and a full name in order to complete the signup process. Disposable or temporary email addresses are not allowed. Any other information requested is optional unless the User opts for a paid Account, in which case additional information will be necessary for billing purposes.

2.3 Account Requirements

We kindly ask that you follow the rules and regulations outlined below to help ensure a positive experience for all users on Lara. These guidelines are in place to protect the interests of our users and maintain the quality and integrity of our platform. We appreciate your cooperation and your commitment to being a responsible member of our community.

2.3.1 A User must be a human to create an Account. Accounts registered by “bots” or other automated methods are not permitted.

At Lara, we value genuine human engagement and ensure that all User Accounts are created by individuals, not by automated means such as “bots” or similar automated methods. This policy helps us maintain the integrity of our platform, ensuring that all users are real people interacting directly with the service.

2.3.2 One person or legal entity may maintain no more than one free Account.

To maintain fairness and prevent misuse of our services, Lara allows each individual or legal entity to hold only one free Account. This rule ensures that all users have equal opportunities and resources available to them. By limiting the number of free Accounts per person or legal entity, we promote an inclusive environment where all users can engage with our platform on an equitable basis.

2.3.3 Sharing your account login information with other individuals is strictly prohibited.

To safeguard the privacy, security, and accountability of each User, it is strictly forbidden to share your account login information with any other individuals. Sharing login credentials compromises the individuality and integrity of your account, posing potential risks to your personal information and activities on Lara. By refraining from sharing your account login information, you contribute to maintaining a secure and reliable environment for all users.

2.4 User Account Security

Users are responsible for keeping their Account secure while using Lara. Users are responsible for keeping their Accounts and passwords secure.

Lara cannot and will not be liable for any loss or damage from your failure to comply with this security obligation. Users must promptly notify Lara if they become aware of any unauthorized use of, or access to, our Service through their Accounts, including any unauthorized use of passwords or other Account credentials.

2.5 Free Access

Lara offers free access to its translation services for both registered and unregistered users. Unregistered users can use the service without creating an account, while registered users can create an account to access additional features such as higher daily or monthly usage limits.

The purpose of the free access facility is to enable everyone to try the basic features of Lara and experience the quality of its translation services. Below are the guidelines and limitations for free users on Lara, including features available to them and the potential reasons for revoking free access.

  • Free users, both registered and unregistered, can access core translation functionalities without payment.
  • Registered users with a free account may benefit from additional features, such as document translation and higher daily or monthly usage limits.
  • Free plans may have limitations on usage or features, which may be subject to change at Lara's discretion. We reserve the right to modify, reduce, or discontinue free plans at any time without prior notice.

Lara may terminate or reduce free access for any of the following reasons:

  • Provision of false or incomplete information by the User;
  • Misuse of the free service, including but not limited to: creating multiple free accounts to bypass usage limits; abusing free access by using automation tools or bots without authorization; engaging in activities that violate the Acceptable Use policies, as outlin in Section 3 "Acceptable Use"
  • Changes to Lara's business model, such as discontinuation or modification of the free plan.

Free access is provided as-is, with no guarantees of availability or continuity of service.

3 Acceptable Use

Your use of the Website and Service must not violate any applicable laws, including copyright laws, trademark laws, or other laws in your jurisdiction. You are responsible for making sure that your use of the Service is in compliance with laws and any applicable regulations.

You agree that you will not, under any circumstances, violate the following Acceptable Use Policies:

3.1 Prohibited Content

We do not allow content on Lara that

  • is unlawful or promotes unlawful activities;
  • relates to sexual exploitation or abuse, including of minors. We do not tolerate content associated with sexual exploitation or abuse of another individual, including where minors are concerned.

3.2 Prohibited Activities

We do not allow activity on Lara that

  • involves the use of any automation software, including bots, scripts, or any form of automated tools, on the Lara user interface unless expressly authorized by us;
  • interferes with or disrupts the normal functioning of the service through unauthorized means;
  • involves sharing, disclosing, or providing others with your Lara account login information. Such actions are considered a breach of our terms and may lead to immediate suspension or termination of your account.

Translated reserves the right to terminate or suspend the Account according to the article 6.3 - Right to Suspend or Lara May Terminate Service

4 Content

4.1 Ownership and Responsibility

Users retain ownership of and responsibility for their Content. If you upload anything you did not create yourself or to which you do not own the rights, you agree that you are responsible for any Content you upload to Lara, and you commit to submitting only Content that you have the right to post and fully complying with any third-party licenses relating to said Content.

4.2 Learning Mode and Content Usage

In Lara, users can choose between Learning Mode and Incognito Mode when requesting a translation. In Learning Mode, both translation texts and context texts are securely stored to help improve Lara's translation model over time. The system learns from these inputs, including additional information like gender specifications or other relevant context provided by users, which helps enhance the accuracy of future translations.

  • Translation texts and context texts are stored to improve model quality.
  • Data is encrypted for security.
  • Translation quality improves with continued use and better context.

By opting for Learning Mode, users grant Lara permission to use their Content, including context texts, exclusively for refining the translation model. Data will not be used for any other purposes, and users retain full ownership of their Content.

4.3 Incognito Mode and Content Privacy

In contrast, Incognito Mode prioritizes privacy by not storing any translation or context texts. When users choose Incognito Mode, the system processes both types of input without saving any data, ensuring maximum privacy but without contributing to model improvements.

  • Translation and context texts are never stored.
  • Translation quality remains static.
  • Translations and context inputs are not saved in history.
  • Sharing links are disabled.

In Incognito Mode, all Content, including context texts, is processed temporarily in memory and discarded immediately after translation. No data is retained, ensuring complete privacy.

4.4 Quality Feedback Feature

Lara includes a translation quality feedback feature that uses an AI system to analyze translation tasks based on various inputs, such as the source and target languages, the text, the context text, the required translation style, and the provided translation. The AI system generates feedback on the translation, categorized as follows:

  • Excellent: The system considers the translation excellent;it effectively captures the context and nuances. No further refinement is required.
  • Good: The translation conveys the overall meaning, with minor nuances needing improvement. The feedback may suggest possible improvements to enhance the translation.
  • Ambiguous Source: The feedback explains that the source text lacks clarity or context, making accurate translation challenging. The AI may ask specific questions to help clarify ambiguities in the source text.

This feature aims to assist Users by providing automated feedback based on the AI's assessment, which can help refine translations and address potential issues. Please see also Disclaimer on Quality Feedback.

4.5 License Grant to Other Users

Lara provides a feature that allows users, whether registered or not, to share a translation request through a URL containing parameters such as the source text, source language, target language, and any context text provided. By using this feature, you agree to allow others who access the shared URL to view and modify your Content, including any context text, directly in the web app. It is your responsibility to ensure that any Content you share through this feature complies with applicable laws and respects third-party rights.

4.6 User-Generated Content Disclaimer

Lara is not responsible for the Content that Users upload or create using the Service. The User is solely responsible for ensuring that their Content does not violate any laws, regulations, or third-party rights, including but not limited to intellectual property rights. Lara does not actively monitor User-Generated Content but reserves the right to remove or disable access to any Content that it deems to be in violation of these Terms or any applicable laws.

4.7 Data Retention and Deletion

Content stored in Learning Mode is retained as long as necessary to improve the translation model unless the User requests its deletion. Users can request the deletion of their Content by contacting Lara Support or writing at support@laratranslate.com . Upon deletion, the Content will be permanently removed from our servers, and any related data will be erased in accordance with our data protection policies. In Incognito Mode, data is not stored, so no retention or deletion is necessary.

5 Payment

5.1 Pricing

Our pricing and payment terms are available on the website. The monthly plans you can see on our Pricing Page auto-renew every month (see defintion in 1.7) since the day you subscribe. If you agree to a subscription price, that will remain your price for the duration of the payment term; however, prices could be subject to change at the end of a payment term. For more details on the features, usage limits, and costs associated with each plan, please refer to our Pricing Page.

5.2 Upgrades, Downgrades, and Changes

You may change your level of service at any time by choosing a plan option or going into your Account Settings. We will immediately bill you when you upgrade from the free plan to any payment-based plan or from a payment-based plan to a different one with a higher subscription price. If you upgrade to a higher level of service, we will bill you for the upgraded plan immediately. If you choose to downgrade your Account, we will downgrade your account at the beginning of the next billing cycle. Please note that when the downgrade occurs, you may lose access to the features or data capacity associated with your previous subscription plan.

5.3 Billing Schedule; No Refunds

Payment for the Service is billed in advance on a monthly basis and is non-refundable. There will be no refunds or credits for partial months of service, downgrade refunds, or refunds for months unused with an open Account unless the User is upgrading their plan. However, the Service will remain active for the duration of the paid billing period. If the Lara payment system is unable to automatically charge the User at the beginning of the billing cycle, it will try for the next 7 days. If, during the 7-day period, it is not possible to charge the User, the Account will be downgraded to the “Starter” plan. No project will be lost, but some features could be no longer available due to the downgrade of the plan. The User agrees to pay the fees in EUR and in full, upfront without deduction or offset of any kind. Amounts payable under this Agreement are non-refundable, except as otherwise provided in this Agreement. The User is solely responsible for all taxes, fees, duties, and governmental assessments that are imposed or become due in connection with this Agreement. At our sole discretion, we reserve the right to issue refunds or credits in cases of severe technical problems that result in the Service being inaccessible for more than 2% of the uptime in any given billing cycle. This equates to a guaranteed uptime of 98% or higher. If the Service falls below this threshold due to technical issues on our part, Users may be considered for a prorated refund or credit for the affected billing period, but this will be determined at our sole discretion.

5.4 Authorization

By agreeing to these Terms, you grant us permission to charge your on-file credit card, or other approved methods of payment for fees that you authorize for the Lara service.

5.5 Responsibility for Payment

You are responsible for all fees, including taxes, associated with your use of the Service. By using the Service, you agree to pay Translated any charge incurred in connection with your use of the Service. If you dispute the matter, contact support@laratranslate.com. You are responsible for providing us with a valid means of payment for paid Accounts. Free Accounts are not required to provide payment information.

5.6 Payment Processing

Payments for Lara's services are processed through Stripe, a secure and trusted third-party payment processor. By using Lara's paid services, you agree to abide by Stripe's terms of service and privacy policy in addition to our own. Stripe is responsible for handling and storing payment information, and Lara does not retain or manage your payment data directly. For more details on how Stripe handles your payment information, please refer to their privacy policy.

6 Cancellation and Termination

6.1 Account Cancellation

It is your responsibility to properly request the cancellation of your Account with Lara. You may do this through the available cancellation options we provided, which may include email, website chat, or an online form. The Lara Team will promptly notify you of the cancellation of your account.

6.2 Upon Cancellation

We will retain and use your information as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements, but barring legal requirements, we will delete your full profile and the Content of your repositories within 90 days of cancellation or termination (though some information may remain in encrypted backups). This information cannot be recovered once your Account is canceled.

6.3 Right to Suspend or Terminate Service

Effective immediately and at any time, we reserve the right to suspend or terminate the Lara service or your access to all or any part of the Website without cause or notice (see 3 Acceptable Use).

Lara reserves the right to refuse service to anyone for any reason at any time.

6.4 Survival

All provisions of this Agreement which, by their nature, should survive termination will survive termination — including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

7 Governing Law and Jurisdiction

Any claim relating to Lara shall be governed by Italian law without regard to its conflict of law in other countries. The Court of Rome shall have jurisdiction over all disputes.

8 Limitation of Liability

You understand and agree that we will not be liable to you or any third party for any loss of profits, use, goodwill, or data, or for any incidental, indirect, special, consequential, or exemplary damages, however arising, that result from:

  • the use, disclosure, or display of your User-Generated Content with other users you choose;
  • your use or inability to use the Service;
  • any modification, price change, suspension, or discontinuance of the Service;
  • the general functionality of the Service or its underlying software or systems;
  • unauthorized access to or alterations of your transmissions or data;
  • statements or conduct of any third party on the Service;
  • any other user interactions that you input or receive through your use of the Service or any other matter relating to the Service.

Our liability is limited whether or not we have been informed of the possibility of such damages, and even if a remedy set forth in these Terms of Service is found to have failed its essential purpose. We are not liable for any failure or delay due to matters beyond our reasonable control.

8.1 Disclaimer on Quality Feedback

The translation quality feedback feature in Lara is powered by an AI system that analyzes translation tasks and provides feedback based on the data and criteria it processes. While this system is designed to assist users by offering insights into translation quality, it is not infallible and may not always accurately reflect the essential quality or appropriateness of a translation.

The feedback provided – whether it designates a translation as Excellent, Good, or Ambiguous Source – is intended as a guide. Users should consider the feedback as a helpful tool rather than a definitive judgment. The AI’s suggestions, particularly in the Ambiguous Source category, are based on its interpretation of the text and may not fully capture all contextual subtleties.

Lara cannot guarantee the accuracy or reliability of the quality feedback provided by the AI system. The User retains full responsibility for reviewing and finalizing the translation output. Lara will not be liable for any errors, misinterpretations, or issues arising from reliance on the quality feedback provided by the AI system.

9 Changes To These Terms

We reserve the right, at our sole discretion, to amend these Terms of Service at any time and will update these Terms of Service in the event of any such amendments. We will notify our Users of material changes to this Agreement, such as price increases, at least 30 days prior to the change taking effect by posting a notice on our Website or sending an email to the primary email address specified in your Lara account. A Customer's continued use of the Service after those 30 days constitutes agreement to those revisions of this Agreement. For any other modifications, your continued use of the Website constitutes agreement to our revisions of these Terms of Service.

We reserve the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Website (or any part of it) with or without notice.
